Terms of Service

These Terms of Service ("Terms") govern access to and use of the INDELAF TECH platform ("Service"), operated by INDELAF S.A. ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent ("Customer").

1. The Service

INDELAF TECH provides white-label management software for construction companies, distributors, and hardware stores, including order management, worker portals, inventory tracking, reporting, and AI-assisted features. The Service is provided on a subscription basis, with plans and pricing described at indelaftech.com/#precios.

We may modify, add to, or discontinue features of the Service at any time, and will make reasonable efforts to notify Customers of material changes.

2. Accounts and Trials

To use the Service, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

New accounts may start on a free trial. At the end of the trial, continued use requires an active paid subscription. We reserve the right to limit or suspend trial accounts that remain unpaid after the trial period, with prior notice.

3. Subscriptions, Billing, and Cancellation

Paid subscriptions are billed monthly in advance through our payment processor, Mercado Pago, via its hosted checkout — we never touch or store card data. By subscribing, you also agree to Mercado Pago's terms.

One-time setup or implementation fees, when applicable, are quoted and invoiced separately and are non-refundable once work has begun.

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

4. Customer Data

All data you upload or generate through the Service (orders, inventory, employee records, documents, etc.) ("Customer Data") remains your property. We do not sell Customer Data and only access it as necessary to provide, secure, and support the Service, or as you direct (for example, when using AI-assisted features that process a document you submit).

You are responsible for ensuring you have the necessary rights and consents to upload any personal data of your employees or third parties into the Service, and for complying with applicable data protection laws in your jurisdiction.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to other tenants' data or to the Service's infrastructure; (c) reverse-engineer or resell the Service without our written consent; (d) upload malicious code or content that infringes third-party rights.

6. AI-Assisted Features

The Service includes features powered by third-party AI models (such as document scanning, conversational assistants, and guided onboarding). These features are provided "as is" — outputs should be reviewed before being relied upon for accounting, payroll, or legal purposes, as with any automated tool.

7. Availability and Support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. Scheduled maintenance or third-party infrastructure issues (including our cloud hosting provider) may occasionally affect availability. Support is provided via the channels listed on our website.

8. Limitation of Liability

To the maximum extent permitted by law, INDELAF S.A. shall not be liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability for any claim relating to the Service is limited to the amount paid by the Customer in the three (3) months preceding the claim.

9. Termination

We may suspend or terminate access to the Service for material breach of these Terms, non-payment after notice, or misuse that affects other Customers. Upon termination, we will provide a reasonable window to export Customer Data before deletion.

10. Governing Law

These Terms are governed by the laws of Argentina, without prejudice to any mandatory consumer-protection rights you may have under the laws of your own country or state.
